By accessing or using Auditrail ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

Auditrail is a multi-tenant B2B compliance tool that helps organizations collect, map, and export audit evidence per control framework. The Service provides evidence management, control mapping, and export functionality for compliance audits.

### 3.1 Account Requirements - You must provide accurate and complete information when creating an account - You are responsible for maintaining the security of your account credentials - You must notify us immediately of any unauthorized access to your account ### 3.2 Organization Membership - Access to the Service is granted through organization membership - Organization administrators may invite members and manage access - You are responsible for ensuring only authorized personnel have access to your organization's data

### 4.1 Permitted Use You may use the Service solely for: - Collecting and organizing compliance evidence - Mapping evidence to control frameworks - Generating audit export packages - Internal compliance and audit preparation purposes ### 4.2 Prohibited Activities You agree not to: - Use the Service for any illegal or unauthorized purpose - Violate any laws in your jurisdiction - Transmit any malicious code, viruses, or harmful data - Attempt to gain unauthorized access to the Service or other organizations' data - Reverse engineer, decompile, or disassemble the Service - Use automated systems to access the Service without authorization

### 5.1 Your Data - You retain all rights to data you upload to the Service ("Your Data") - You are solely responsible for Your Data and its accuracy - You grant us a license to use, store, and process Your Data solely to provide the Service ### 5.2 Data Storage and Security - We implement security measures to protect Your Data - Data is stored in organization-scoped directories with tenant isolation - You are responsible for maintaining backups of Your Data ### 5.3 Data Deletion - You may delete Your Data at any time through the Service - Deleted data may be retained in backups for a limited period - We reserve the right to delete accounts that have been inactive for an extended period

### 6.1 Service Ownership - The Service, including all software, designs, and content, is owned by Auditrail - These Terms do not grant you any rights to our intellectual property ### 6.2 Your Content - You retain ownership of content you create or upload - You grant us a worldwide, non-exclusive license to use Your Data to provide the Service

### 7.1 Subscription Plans - The Service is offered under annual license terms - Pricing and plan details are available on our pricing page - All fees are in EUR unless otherwise stated ### 7.2 Payment Terms - Payment is due according to your selected plan - No automatic renewal unless explicitly agreed - Fees are non-refundable except as required by law. Refunds may be granted as described on the Pricing page. ### 7.3 Changes to Pricing - We reserve the right to modify pricing with 30 days' notice - Existing subscriptions are honored for their current term

### 8.1 Service Availability - We strive to maintain high availability but do not guarantee uninterrupted service - We may perform maintenance that temporarily affects availability ### 8.2 Service Modifications - We reserve the right to modify, suspend, or discontinue the Service at any time - We will provide reasonable notice of material changes when possible

### 9.1 Termination by You - You may terminate your account at any time - Upon termination, you may export your data before account deletion ### 9.2 Termination by Us - We may suspend or terminate accounts that violate these Terms - We may terminate accounts for non-payment or extended inactivity ### 9.3 Effect of Termination - Upon termination, your right to use the Service ceases immediately - We may delete Your Data after a reasonable retention period - Provisions that by their nature should survive will remain in effect

### 10.1 Service Provided "As Is" - The Service is provided "as is" and "as available" - We disclaim all warranties, express or implied, including merchantability and fitness for a particular purpose ### 10.2 No Guarantees - We do not guarantee that the Service will meet your requirements - We do not guarantee uninterrupted, secure, or error-free operation

- To the maximum extent permitted by law, our liability is limited to the amount you paid in the 12 months preceding the claim - We are not liable for indirect, incidental, special, or consequential damages - These limitations apply even if we have been advised of the possibility of such damages

You agree to indemnify and hold harmless Auditrail, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from: - Your use of the Service - Your violation of these Terms - Your violation of any rights of another party - Your Data or content

### 13.1 Governing Law These Terms are governed by the laws of [Jurisdiction], without regard to conflict of law principles. ### 13.2 Dispute Resolution - Disputes will be resolved through good faith negotiation - If negotiation fails, disputes will be resolved through binding arbitration - You waive any right to participate in class action lawsuits

- We may modify these Terms at any time - Material changes will be communicated via email or Service notification - Continued use of the Service after changes constitutes acceptance - If you do not agree to changes, you must stop using the Service

### 16.1 Entire Agreement These Terms constitute the entire agreement between you and Auditrail regarding the Service. ### 16.2 Severability If any provision is found unenforceable, the remaining provisions will remain in full effect. ### 16.3 Assignment You may not assign these Terms without our written consent. We may assign these Terms without restriction. ### 16.4 Waiver Our failure to enforce any provision does not constitute a waiver of that provision.
